1. Introduction

Welcome to BrizoSystem! These Terms & Conditions ("Terms") govern your access to and use of BrizoSystem's website, platform, and applications (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms apply to users located in Singapore, Australia, the United States, the United Kingdom, the European Union, and other regions globally where applicable.

2. Definitions

• "BrizoSystem" means BrizoSystem Pte. Ltd., including its affiliates, subsidiaries, and authorized service providers.
• "User" refers to any individual or entity accessing or using the Services.
• "Account" means your registered account on BrizoSystem.
• "Content" refers to any data, reports, documents, or information uploaded, generated, or accessed via the Services.

3. Eligibility

You must be at least 18 years old and capable of entering a legally binding agreement. If you are accessing the Services on behalf of an organization, you represent that you have the authority to do so.

4. Account Registration & Responsibilities

• Users must provide accurate, complete, and current information when registering.
• You are responsible for maintaining the confidentiality of your account credentials.
• All activity under your account is your responsibility. Report any unauthorized access immediately.
• Users must ensure that their account configuration, including server region selection, aligns with their legal and regulatory obligations.

5. Services & Acceptable Use

BrizoSystem provides financial consolidation, reporting, and analytics services. Users must not:

• Interfere with the operation or security of the Services.
• Reverse-engineer, copy, or reproduce the Services.
• Use the Services for unlawful, fraudulent, or unauthorized purposes.
• Upload or share illegal, harmful, or offensive Content.

6. Fees & Payment

• Fees are as specified on our website or in your service agreement.
• Non-payment may result in suspension or termination of access.
• Fees may be updated upon notice to Users.

7. Intellectual Property

• All intellectual property rights in the Services and Content remain with BrizoSystem or its licensors.
• Users are granted a limited, non-exclusive license to use the Services in accordance with these Terms.

8. Data Protection & Privacy

Personal data is processed in compliance with applicable data protection laws, including:

• Singapore: Personal Data Protection Act 2012 (PDPA)
• Australia: Privacy Act 1988
• United States: Applicable federal and state privacy laws, including CCPA where relevant
• United Kingdom: UK GDPR and Data Protection Act 2018
• European Union: General Data Protection Regulation (EU GDPR)

BrizoSystem uses Amazon Web Services (AWS) for cloud hosting. Data is stored on servers in the same country or region as the user, based on the selected server region during account setup.

9. User Content

Users retain ownership of Content they provide or upload. By using the Services, Users grant BrizoSystem a worldwide, non-exclusive, royalty-free license to use, store, and display the Content for service delivery. Users are solely responsible for the legality, accuracy, and appropriateness of their Content.

10. Third-Party Services

BrizoSystem may integrate with third-party service providers (e.g., payment gateways, cloud hosting). BrizoSystem is not responsible for the performance, content, or policies of third-party providers.

11. Warranties & Disclaimers

Services are provided "as is" and "as available." BrizoSystem does not warrant uninterrupted or error-free operation. All implied warranties are disclaimed to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, BrizoSystem is not liable for indirect, incidental, consequential, or punitive damages. Direct liability is limited to the amount of fees paid in the 12 months preceding the claim.

13. Indemnification

Users agree to indemnify and hold harmless BrizoSystem and its affiliates from claims, losses, damages, or expenses arising from use of the Services, violation of these Terms, or infringement of third-party rights.

14. Termination

• BrizoSystem may suspend or terminate a User's access for breach of these Terms, unlawful activity, or at our discretion.
• Users may terminate their account by canceling the subscription, subject to applicable notice periods.

15. Governing Law & Dispute Resolution

• Singapore: governed by Singapore law; disputes resolved in Singapore courts
• Australia: governed by Australian law; disputes resolved in relevant state or federal courts
• United States: governed by the laws of the state specified in your service agreement
• United Kingdom: governed by UK law; disputes resolved in UK courts
• European Union: governed by the laws of the relevant EU member state

16. Updates to Terms

Terms may be updated from time to time. Material changes will be communicated via email or website notice. Continued use constitutes acceptance.
